Welcome to Tres Comma Compliance ("TCC," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our compliance archival solutions and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

  • Be at least 18 years old.
  • Have the authority to enter into these Terms on behalf of your organization.
  • Comply with all applicable laws and regulations.

2. Account Registration and Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
  • You must provide accurate, current, and complete information during registration and promptly update this information if it changes.
  • You agree not to share your account or credentials with unauthorized parties.

3. Services

TCC provides compliance archival solutions for off-channel communication platforms. Specific features and functionalities of the Services may vary and are subject to change.

  • Access and Use: Subject to these Terms, we grant you a non-exclusive, non-transferable right to access and use the Services for lawful purposes.
  • Service Availability: We strive to ensure uninterrupted availability of the Services but do not guarantee uptime. Scheduled maintenance and technical issues may result in temporary disruptions.

4. Prohibited Uses

  • Use the Services in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Services.
  • Introduce malware, viruses, or other harmful material to the Services.
  • Reverse-engineer or tamper with the Services.

5. Fees and Payments

  • Subscription Fees: Access to the Services may require payment of subscription fees as outlined during your registration.
  • Payment Terms: All payments are due in full and are non-refundable unless explicitly stated otherwise.
  • Taxes: You are responsible for all applicable taxes arising from your use of the Services.

6. Intellectual Property

  • Ownership: TCC retains all rights, title, and interest in and to the Services, including but not limited to software, trademarks, and documentation.
  • User Data: You retain all rights to the data you upload to the Services ("User Data"). By using the Services, you grant TCC a license to process, store, and use your User Data solely to provide the Services.

7. Confidentiality

  • Definition: Confidential information includes non-public information related to the Services, User Data, and any business information exchanged between the parties.
  • Obligations: Each party agrees to protect the other party’s confidential information with the same level of care as it protects its own.

8. Data Protection and Privacy

  • TCC’s use of your data is governed by our Privacy Policy.
  • You represent and warrant that you have obtained all necessary consents to provide User Data to TCC.

9. Term and Termination

  • Term: These Terms remain effective until terminated by either party.
  • Termination by You: You may terminate your use of the Services at any time by providing notice to TCC.
  • Termination by TCC: We may suspend or terminate your access to the Services for violation of these Terms or other legitimate business reasons.
  • Effects of Termination: Upon termination, your access to the Services will cease, and we may delete your User Data after a specified retention period.

10. Disclaimers and Limitations of Liability

  • No Warranties: The Services are provided "as is" without any warranties, express or implied.
  • Limitation of Liability: To the maximum extent permitted by law, TCC is not liable for indirect, incidental, or consequential damages arising from your use of the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless TCC from and against any claims, liabilities, damages, and expenses arising out of your use of the Services or violation of these Terms.

12. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the State of California.
  • Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

TCC reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Services. Your continued use of the Services constitutes acceptance of the revised Terms.

14. Enterprise Agreement Supersession

If you and TCC have entered into a separate enterprise agreement, the terms of that agreement will override any or all of these Terms to the extent of any conflict.
